BuySideMetrics ("the Platform") is a decision-support and financial modeling tool designed to help acquisition buyers analyze financial data for potential business acquisitions.

BuySideMetrics is NOT any of the following:

• A CPA audit, review, compilation, or any form of assurance engagement
• A registered investment advisor or broker-dealer
• A tax preparation or tax advisory service
• A legal advisor or law firm
• A licensed appraiser or valuation firm
• A lender, loan broker, or financial institution

All financial metrics, valuations, and analyses produced by the Platform are based entirely on user-provided data and user-configured assumptions. The accuracy and completeness of the outputs depend on the accuracy and completeness of the inputs.

The Platform's valuation ranges, DSCR calculations, debt capacity estimates, and other outputs are illustrative models for screening purposes only. They should not be relied upon as the sole basis for any acquisition, financing, or investment decision.

Users should always consult with qualified Certified Public Accountants (CPAs), attorneys, business valuation professionals, and financial advisors before making acquisition decisions.

Lender introductions facilitated through the Platform are introductions only, not loan commitments or guarantees of financing. All lending decisions are made solely by the participating lender institutions.

By accessing or using BuySideMetrics, you agree to be bound by these Terms of Service.

1. Service Description

BuySideMetrics provides a web-based platform for financial analysis and modeling in the context of business acquisitions. The service allows users to upload financial data, map line items to standard categories, compute financial metrics, model scenarios, and generate exportable reports.

2. User Responsibilities

You are responsible for the accuracy and legality of all data you upload. You represent that you have the right to use and analyze any financial data you provide. You must not upload confidential data without proper authorization from the data owner.

3. No Professional Advice

The Platform does not provide professional financial, tax, legal, or investment advice. See the Disclaimer section above for full details.

4. Subscriptions & Payments

Paid plans are billed according to the pricing displayed at the time of purchase. Subscriptions may be cancelled at any time; access continues through the end of the current billing period. Refunds are handled on a case-by-case basis.

5. Data & Privacy

Your uploaded financial data is stored securely and used only to provide the service. See the Privacy Policy section below for full details.

6. Limitation of Liability

To the maximum extent permitted by law, BuySideMetrics shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including but not limited to losses arising from acquisition decisions made using the Platform's outputs.

7. Changes to Terms

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

Data We Collect

• Account information (name, email, authentication tokens)
• Financial data you upload (P&L, balance sheet, tax return data)
• Configuration data (line-item mappings, scenario assumptions)
• Usage data (pages visited, features used, for product improvement)
• Payment data (processed by Stripe; we do not store card numbers)

How We Use Your Data

• To provide the financial analysis and modeling service
• To process payments and manage subscriptions
• To facilitate lender introductions (with your explicit approval)
• To improve the product and user experience
• To communicate service updates and account information

Data Security

We use encryption in transit (TLS) and at rest for all financial data. Access to user data is restricted to authorized personnel. We follow industry standard security practices.

Data Retention & Deletion

Your data is retained as long as your account is active. You may delete individual deals or your entire account at any time. Upon account deletion, all associated data is permanently removed within 30 days.

Third-Party Sharing

We do not sell your data. Financial data is shared with lenders only when you explicitly request an introduction and approve the summary to be shared. Payment processing is handled by Stripe. We may use analytics services (with anonymized data) to improve the product.
